Acquisition of SKY NRG (ITALY)

TSG, the European leader in technical services for responsible mobility solutions, has completed the acquisition of SKY-NRG, an Italian specialist in photovoltaic systems.

This transaction marks the Group’s 27th acquisition in three years and its most significant to date. Based in CASTIGLIONE DELLE STIVIERE, Lombardy, SKY-NRG designs, installs and maintains photovoltaic systems for industry, solar power plant developers and various entities belonging to the public service.

With 100 employees and a turnover of €60 million, this acquisition will allow TSG to increase its revenues in the field of solar energy to €100 million by 2024. TSG is expected to continue its external growth strategy with four new acquisitions planned before the end of the year.

The Group, controlled by HLD since 2020, employs more than 6,000 people in 25 European countries and 5 African countries. TSG recorded €1.1 billion in revenue in the last financial year ended in April 2024.

ATOUT CAPITAL advised TSG on the acquisition of SKY-NRG. This new acquisition aims to enable TSG to strengthen its presence in Europe while accelerating its transition to new energies for sustainable mobility. Carried out as part of an auction process organised by the investment bank PIROLA CORPORATE FINANCE (a member of the international M&A network GLOBALSCOPE), the acquisition concerns all of the company’s securities. The four founding directors, including Gianluca PARONI, Chairman and Chief Executive Officer, will retain their operational roles. ATOUT CAPITAL has advised TSG on 8 occasions on acquisition transactions in Europe for more than 24 months.
